1. Introduction

These terms and conditions (the “Terms”) govern your use of the website at pixelspoint.co.uk (the “Site”) and any related services, products, or engagements provided by [Pixels Point Ltd](“Pixels Point”, “we”, “us”, “our”).

By accessing or using the Site you agree to be bound by these Terms. If you do not agree, please don’t use the Site.

3. Use of this Site

You may use the Site for lawful, personal, or professional purposes only. You agree not to:

  • Use the Site in any way that breaches applicable law or regulation
  • Use the Site to send unsolicited or harmful communications, including spam
  • Attempt to gain unauthorised access to the Site, its servers, or any related system or database
  • Introduce malware, viruses, or any other malicious code
  • Scrape, harvest, or extract data from the Site by automated means without our prior written consent
  • Reverse engineer, copy, or republish any part of the Site beyond what these Terms or applicable law permit

We reserve the right to restrict access, suspend accounts, or remove content where we reasonably believe these Terms have been breached.

4. Intellectual property

All content on the Site — including copy, graphics, logos, illustrations, code, layouts, product names, and the Pixels Point brand — is owned by or licensed to Pixels Point and is protected by copyright, trade mark, and other intellectual property laws.

You may view, share, and print pages of the Site for your own personal or internal business use. You may not republish, reproduce, sell, or commercially exploit any content from the Site without our prior written permission.

The Pixels Point name and logo are trade marks of Pixels Point. Other trade marks shown on the Site belong to their respective owners and are used for identification only.

5. Information you submit

When you submit information to us — for example via the contact form, an enquiry email, or a product early-access request — you confirm that:

  • The information is true, accurate, and not misleading
  • You have the right to share that information
  • Sharing the information will not breach any third-party rights or applicable law

By submitting an enquiry you grant us a non-exclusive, royalty-free licence to use the information you provide for the purposes of responding to you, delivering the services you request, and improving how we work. Our use of any personal data is governed by our Privacy Policy.

6. Services and engagements

Any engagement to deliver services or licence products to a client is governed by a separate written agreement (a statement of work, master services agreement, product terms of service, or similar). Where those agreement terms conflict with these Site Terms, the engagement-specific terms take precedence for that engagement.

Products

Pixels Point products — including PFBI, Pixels Tasks, Pixels LMS, Pixels AgendaAI, AI Pixels Map, EduMark AI, and Staff Scheduler — are provided under their own terms of service, accepted at the point of account creation or subscription. References on the Site (including “early access”, “launching soon”, or roadmap descriptions) are indicative and do not constitute a binding offer.

Fees

Fees for services and product subscriptions, where applicable, are agreed in writing before delivery. Unless otherwise agreed, all amounts are quoted exclusive of UK VAT.

7. Disclaimers

We work hard to keep the Site accurate, available, and useful, but provide it on an “as is” and “as available” basis without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

  • Content on the Site is provided for general information only and is not professional advice. Don't act, or refrain from acting, on the basis of Site content without taking suitable advice for your circumstances.
  • We don't guarantee that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.
  • We may modify, suspend, or discontinue any part of the Site at any time without notice.

Nothing in these Terms limits or excludes any rights you have under applicable law that cannot lawfully be excluded.

8. Limitation of liability

To the fullest extent permitted by law, Pixels Point and our directors, employees, contractors, and affiliates exclude all liability for any indirect, incidental, consequential, special, or punitive losses arising out of or in connection with your use of the Site, including loss of profits, loss of business opportunity, loss of data, or business interruption.

Our total aggregate liability for any direct loss arising out of or in connection with your use of the Site is limited, to the fullest extent permitted by law, to [£100 or such other amount as agreed in your engagement contract].

Nothing in these Terms limits or excludes our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot lawfully be limited or excluded

10. Indemnity

You agree to indemnify and hold Pixels Point harmless from any losses, damages, claims, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Site.

11. Suspension and termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have breached these Terms or where required by law. Sections intended to survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will continue to apply.

12. Governing law and jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising from these Terms.

If you are a consumer based outside England and Wales, you may also have rights to bring proceedings in your local courts, and to benefit from mandatory consumer protection laws in your place of residence.

13. Changes to these Terms

We may revise these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Material changes will be highlighted on the Site. Continued use of the Site after a revision constitutes acceptance of the updated Terms.

14. General

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force and effect.

No waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

Entire agreement

These Terms, together with our Privacy Policy and any engagement-specific contract between us, set out the entire agreement between you and Pixels Point relating to your use of the Site.

Third-party rights

A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.
